Content Creator Agreement

1. Agreement to Terms By checking the box below, you agree to be bound by the terms and conditions of this Content Creator Agreement. This Agreement is entered into between you ("Creator" or "You") and taest ("Company," "We," or "Us"). If You do not agree to these terms, do not proceed with creating an account or submitting any content.

2. Eligibility To create a content creator account and submit user-generated content ("Content"), You must be at least 18 years old. By agreeing to these terms, You confirm that You meet this age requirement.

3. Content Submission and Approval

• You may submit Content in the form of videos to the Company for review. All submitted Content must meet the Company’s content standards and guidelines, which may be updated from time to time at the Company’s discretion.

• The Company reserves the right to approve or reject any submitted Content. You will be notified if your Content has been approved.

• Upon approval, You will be required to post the approved Content on your personal social media page or any other platform as directed by the Company. The Company will also post the Content on its platforms.

4. Ownership and Rights

• By submitting Content to the Company, You hereby grant the Company an irrevocable, perpetual, worldwide, exclusive, royalty-free, and transferable license to use, reproduce, distribute, display, publish, and create derivative works from the Content, in any media now known or hereafter developed.

• You acknowledge that upon submission and approval of the Content, the Company will own all rights, title, and interest in and to the Content, including any intellectual property rights therein.

5. Compensation and Rewards

• Within 24 hours of You posting the approved Content on your page, the Company will provide You with a link to a digital reward system.

• The digital reward system will allow You to spin a digital wheel, which may award gifts such as gift cards or digital payments. The value and type of rewards will be determined solely by the Company and may vary.

6. Representations and Warranties

• You represent and warrant that:

  • You are at least 18 years old.

  • The Content You submit is original, created by You, and does not infringe on the intellectual property rights of any third party.

  • You have obtained all necessary rights and permissions to grant the Company the rights described in this Agreement.

7. Indemnification

• You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of this Agreement or your submission of Content.

8. Limitation of Liability

• To the fullest extent permitted by law, the Company shall not be liable to You for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement or your submission of Content, even if the Company has been advised of the possibility of such damages.

9. Termination

• The Company reserves the right to terminate this Agreement and your content creator account at any time, for any reason, without prior notice.

10. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of New York, without regard to its conflict of law principles.

11. Entire Agreement

• This Agreement constitutes the entire understanding between You and the Company regarding the submission of Content and supersedes all prior agreements or understandings, whether written or oral.
